By accessing or using the UniBiz Informatics website located at www.unibizinformatics.com ("Website") or by engaging us for any services, you ("Client") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please do not use our Website or services.

These Terms apply to all visitors, users, clients, and others who access the Website or use our services. We reserve the right to update these Terms at any time without prior notice.

UniBiz Informatics provides the following digital services:

• Website Design & Development
• Mobile Application Development (iOS & Android)
• Search Engine Optimization (SEO)
• Digital Marketing & UI/UX Design

The specific scope, deliverables, and terms of each project are defined in a separate Service Agreement or Statement of Work (SOW) signed between both parties prior to commencement of any work.

Upon receipt of full and final payment for a project, the Client shall own the rights to the final deliverables (original design files, custom code) unless otherwise specified in the Service Agreement.

UniBiz Informatics retains the right to display completed work in its portfolio and marketing materials unless the Client explicitly requests confidentiality in writing.

Third-party components, frameworks, libraries, plugins, and stock assets used in projects remain subject to their respective licenses. UniBiz Informatics does not transfer ownership of licensed third-party assets to the Client.

All content on this Website — including text, graphics, logos, and code — is the exclusive property of UniBiz Informatics and is protected by applicable copyright and intellectual property laws.

The Client agrees to:

• Provide accurate, complete, and timely information, materials, and feedback required for project completion.
• Ensure that any content, images, or materials supplied do not infringe on third-party copyrights, trademarks, or other intellectual property rights.
• Maintain the confidentiality of any login credentials or access details provided by UniBiz Informatics.
• Notify UniBiz Informatics promptly of any errors, issues, or changes required within the agreed revision period.

Payment terms are outlined in each individual Service Agreement. Standard terms are as follows:

• A 50% deposit is required before work commences on any project.
• The remaining 50% balance is due upon project completion and prior to final delivery or deployment.
• Monthly retainer engagements (e.g., SEO, maintenance) are billed on the 1st of each month, payable within 7 days.
• Late payments may incur a 2% monthly interest charge on the outstanding balance.
• All prices are in USD unless otherwise stated in the Service Agreement.

Both UniBiz Informatics and the Client agree to keep confidential all proprietary information, trade secrets, and business information disclosed during the course of the engagement. Neither party shall disclose the other's confidential information to third parties without prior written consent.

This obligation shall survive the termination of any service agreement and remain in effect for a period of two (2) years thereafter.

To the maximum extent permitted by applicable law, UniBiz Informatics shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including, but not limited to, loss of revenue, loss of data, loss of business, or loss of goodwill — arising out of or in connection with these Terms or the services provided.

Our total liability for any claim related to a specific project shall not exceed the total amount paid by the Client for that project.

UniBiz Informatics warrants that services will be performed in a professional and workmanlike manner, consistent with industry standards.

We do not warrant that:

• Specific SEO rankings or traffic targets will be achieved within a guaranteed timeframe (search engine algorithms are outside our control).
• The Website will be free from interruption or errors at all times.
• Third-party services, plugins, or platforms integrated into deliverables will maintain their availability or functionality indefinitely.

Either party may terminate a service engagement with 30 days' written notice. In the event of termination:

• The Client shall pay for all work completed up to the termination date.
• Any deposits or advance payments made are non-refundable unless otherwise agreed in writing.
• UniBiz Informatics will deliver all completed work files to the Client upon receipt of final payment.

Your use of our Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and protect your personal information.

By using our Website, you consent to the collection and use of information in accordance with our Privacy Policy. We do not sell, trade, or rent your personal information to third parties.

UniBiz Informatics reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the Website. The "Last Updated" date at the top of this page will reflect the most recent revision.
